Terms of Service

These terms govern your use of this website and any services you purchase from Gemina Automation LLC (“we,” “us,” or “our”). By using this site or buying a service, you agree to them. If you do not agree, please do not use the site.

Who We Are

Gemina Automation LLC is a single-member limited liability company registered in the State of Alabama. We build AI and workflow automation systems for small businesses.

What We Provide

We sell two things. The first is a written automation audit: you answer a questionnaire, and we return a written report identifying where time is being spent, a small number of specific fixes with estimated hours and dollars attached, and a list of things we recommend you do not spend money on. The second is build work — designing and implementing the automation, AI, or web systems described in a written scope agreed with you in advance.

The audit is a written deliverable and does not include implementation. Build work is quoted separately and only begins after a scope and price are agreed in writing.

Pricing, Payment, and the Audit Credit

Prices are listed on our pricing page and are quoted in U.S. dollars. Payment is processed by Stripe; we do not collect or store payment card details on this website.

The audit fee is credited in full against the price of any build you subsequently commission from us. The credit applies once, to one build, and has no cash value on its own.

Build work is typically invoiced fifty percent before work starts and fifty percent on handover, unless your written scope says otherwise.

Delivery Timeframes

We aim to deliver the written audit within five business days of receiving your completed questionnaire. Build timelines are set in the written scope for that project. Timeframes are estimates made in good faith, not guarantees, and depend in part on how quickly you provide access, information, and approvals.

Ownership and Handover

Systems we build for you are built in accounts that you own and control, and are handed over to you. You keep the accounts, the data, and the configurations. We do not charge you seat fees or licence fees to keep using what we built, and we do not hold your systems hostage on a platform we control.

You remain responsible for the third-party services those systems run on — for example your CRM, email provider, telephony provider, or AI model provider — including their fees, their terms, and their availability.

Your Responsibilities

You agree to give us accurate information, to hold the rights to any content or data you ask us to work with, and to use what we build in compliance with applicable law. That specifically includes telemarketing, email, and text messaging law: if we build you a system that contacts people, you are responsible for having a lawful basis to contact them.

No Guarantee of Results

We do not guarantee any particular revenue, lead volume, ranking, cost saving, or other business outcome. Figures used in our materials are estimates and illustrations, not promises. Your results depend on your market, your offer, and your execution.

Refunds

Because the audit is a written deliverable produced specifically for you, it is non-refundable once delivered. If we have not yet delivered it, contact us and we will refund it. Refund terms for build work are set out in the written scope for that project.

Confidentiality

We treat non-public information you share with us as confidential and use it only to provide the services you have asked for. We will not publish your name, logo, or results as a case study without your permission.

SMS Messaging Terms

We operate an SMS text messaging program. Consent is collected separately for informational and transactional messages and for promotional messages, using unchecked boxes that you must tick yourself. Consent is never a condition of purchase.

Message and data rates may apply. Message frequency varies. Reply STOP to any message to stop receiving texts from us, or HELP for help. Carriers are not liable for delayed or undelivered messages.

The full messaging program disclosure — what we send, how often, how to opt out, and how consent data is handled — is set out in the SMS Messaging Program section of our Privacy Policy. We do not share mobile opt-in data or consent with third parties or affiliates for their own marketing purposes.

Our Privacy Policy explains what we collect and how we use it, and forms part of these terms.

Intellectual Property

The content of this website — text, design, graphics, and code — is owned by Gemina Automation LLC. You may not copy or republish it without permission. Deliverables we produce for you become yours on full payment, except for general methods, templates, and know-how we developed before or independently of your project, which remain ours.

Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to the services is limited to the amount you paid us for the service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law.

Third-Party Services

This website and our services use third-party providers, including Stripe for payments and LeadConnector for the chat widget and scheduling. Their own terms and privacy policies apply to the parts of the service they operate.

Changes to These Terms

We may update these terms. The version in force is the one published on this page, with the last updated date shown at the top. Material changes do not apply retroactively to work already scoped and paid for.

Governing Law

These terms are governed by the laws of the State of Alabama, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Alabama.
